Terms and Conditions

These Terms and Conditions govern Your use of the Money Transfer Service on the Send Application, website or any other digital portal we provide (“Site”) as a User (as defined below) which is provided by Flutterwave UK Limited (“Flutterwave” or “Us”). Flutterwave is registered with the Financial Conduct Authority as an EMD Agent ( Ref. No 902084), of PayrNet Limited, an Electronic Money Institution authorized by the Financial Conduct Authority ( Ref. No 900594).

Please read them carefully as they affect Your rights and liabilities under the law. By accessing this Site, You are indicating Your acceptance of these Terms and Conditions, the Privacy Notice, Cookies Policy. If You do not agree to these Terms and Conditions, please do not access and or use the Site. If You have any questions on the Terms and Conditions, please contact send@flutterwavego.com .

Definitions 

The definitions and rules of interpretation in this clause apply in this Terms and Conditions.

  1. Account means the non-interest-bearing account to be opened and operated by You with Flutterwave, through the Site with the following features that enable You; 

  2. push money from your external account in the currencies available on the Site, for remittance to the Recipient.

  3. give instructions for the money to be transferred to another person’s Account. 

  4. BusinessDay means any day on which banks are open for business excluding Saturdays, Sundays and public holidays;

  5. Local Taxes means any taxes chargeable in the Recipient’s country; 

  6. Money Transfer Amount means the specific sum of money which You push through your Account, to be transferred to the Recipient through the Site.

  7. Money Transfer means an electronic transfer of a Money Transfer Amount by You to the Recipient through the Site.

  8. Money Transfer History means records of Money Transfers which are accessible through the Site.

  9. Recipient means the payee, located in the Recipient’s Country, who receives the money through the use of the Money Transfer Service.

  10. Recipient’s Country means the country from where a Recipient receives the Money Transfer.

  11. Payment Instrument means a mode of pushing money through the Account, to the Recipient, which may include Your card or other modes recognised as set out in these Terms and Conditions.

  12. Payment Instruction means an instruction containing the execution of a Money Transfer, sent to Flutterwave by You.

  13. Services/Money Transfer Service means international money transfer services and Account maintenance services provided by the Flutterwave to You.

  14. Service Fee means our fees for the provision of the Services as described on the Site payable by You to Flutterwave. 

  15. Service Provider means technical partners, international transfer money operators, commercial banks, third party service providers who we work with to provide the Services to You. 

  16. User/You customer of Flutterwave, who is a user of the Site and has opened an Account with Us and/or utilizes our Services.  

Amendments 

We may update these Terms from time to time for legal or regulatory reasons or for the proper operation of the Site without any recourse to You whatsoever. Any changes will be notified to You via the e-mail address provided by You on registration or via a suitable announcement on the Site. The changes will apply to the use of the Site after we have given notice. If You do not wish to accept the new Terms You should not continue to use the Site. If You continue to use the Site after the date on which the change comes into effect, Your use of the Site indicates Your agreement to be bound by the new Terms and Conditions.  

Registration

  1. You must be at lease eighteen (18) years old to create an account, access or use the Site. You must be able to form legally binding contracts under applicable law. Other restrictions may apply.

  2. Registration and/or sign up as a User on this Site shall only be conducted by individuals who can form legally binding contracts under applicable law.

  3. It is a condition of Your use that all the information You provide on this Site will be correct, current and complete. If Flutterwave believes that the information You provide is not correct, or complete, Flutterwave has the right to refuse You access to this Site or any of its resources, and to terminate or suspend Your access at any time. 

  4. To enable us to provide the Services to You on the Site, You are required to provide Your name, address and billing and credit card information. You are required to provide accurate and complete information. 

  5. Verification and Checks 

  6. We are required to assist in the fight against money laundering activities and the funding of terrorism by obtaining, verifying, and recording identifying information about all customers. We may therefore ask You to supply us with personal information relating to You or any Recipient, and we may also legally consult other sources or third parties to obtain information about You or any Recipient.

  7. We will verify Your residential address and personal details in order to confirm Your identity. We may also need to verify the identity of a Recipient in the same way. All information provided by You will be treated securely and strictly in accordance with all applicable law. We may do this directly, for example by asking You for additional information, or asking You to take steps to confirm ownership of Your Account, Payment Instruments, or email address; or indirectly, for example by verifying Your information against third party databases or through other sources.

  8. You explicitly consent to us accessing, processing, and retaining Your personal information in line with our Privacy Notice and for the purposes of providing the Money Transfer Service. 

  9. We may be obligated by law to provide information about You, Your use of the Site, Your, and Your Payment Instruction, to any competent regulatory authorities as described in our Privacy Notice.

  10. We may, as necessary in providing the Money Transfer Service to You under store all information required of Recipient to prove their identity or associated with their specific Instruction. Such proofs may include a suitable form of valid, unexpired identification from a list of acceptable papers provided by the Service Provider, and/or a transaction tracking number, a personal identification number (PIN), a "password", a "secret word", or other similar identifiers.

  11. When You register to use the Site, You will be asked to create a password; to prevent fraud, You must keep this password confidential and must not disclose it or share it with anyone. If You know or suspect that someone else knows Your password, You should immediately change Your password and notify us by contacting send@flutterwavego.com immediately.

  12. You may only have one active Account. If we find that You are using multiple Accounts, we reserve the sole right and discretion to terminate one or more of the Accounts or refuse Your continued use of the Money Transfer Service.

  13. Flutterwave may place certain restrictions on your Account, depending on your residence, location, compliance checks or regulatory requirements under applicable law.

  14. Your Account shall be used exclusively by You and You shall not transfer Your Account to any third party. If You authorize any third party to manage Your account on Your behalf, this shall be at Your own risk and Flutterwave shall not be liable to You in any way for any loss or liability arising from use by the third party. 

  15. You must follow reasonable instructions which we give You or publish on our Site from time to time which are intended to help You to safely use the Services. 

  16. If Flutterwave has a reason to believe that there is likely to be a breach of security or misuse of the Site, we may require You to change Your password or we may suspend Your account. 

Use of the Site 

  1.  You should only use the Site to send money to people that You know personally, and not to pay for goods or services from third parties You do not know or trust. If You choose to pay third parties You do not know or trust for goods, please note that we have no control over, and are not responsible for safety, legality, or delivery of such goods or services and that any use of our Site and our Services is entirely at Your own risk.

  2. You must act on Your own behalf. You may not submit a Payment Instruction or receive a Payment Instruction on behalf of a third party. 

  3. You must not use the Site to send Money Transfer Amount in connection with illegal activity including but not limited to money-laundering, fraud and the funding of terrorist organizations. If we reasonably believe You are using the Site in connection with illegal activity or for any fraudulent purpose, or are permitting a third party to do so, we shall report You to the appropriate legal authorities. 

  4. When using the Account or the Services, You must do the following; 

    1. comply with this Terms and Conditions as well as any applicable laws, rules or regulations; 

    2. provide confirmation of any information You provide to us, including proof of identity;

    3. co-operate in any investigation that we reasonably carry out, or that is carried out by any law enforcement agency, government agency or regulatory authority; 

    4. not provide false, inaccurate or misleading information; and 

    5. not use an anonymising proxy. 

  5. Provided it would not be unlawful for us to do so, and it would not compromise reasonable security measures, we will contact You by phone or email if there is an actual or suspected fraud affecting Your use of the Site, Your Account, or a security threat affecting the Site, the Money Transfer Service or Your Account. 

  6. Nothing in these Terms and Conditions or in any information provided by Flutterwave as part of the Services covered by these Terms and Condition is intended to be, nor should it be construed to be, legal or other advice. You must consult Your own professional advisers as to the effect of laws which may apply to Your use of the Services.  

Making Payments

  1. When You give us a Payment Instruction, You are requesting that we process the Money Transfer on Your behalf and You are consenting to the execution of the Money Transfer. Your Payment Instruction will be treated as received by us once You submit it to us using the Site. 

  2. It is Your responsibility to make sure all the details are accurate before You give us a Payment Instruction. Once we have received a Payment Instruction, it is not normally possible to change any details of that Payment Instruction. You will be given the opportunity to confirm a Payment Instruction before submission and You must check the details carefully.

  3. Where You pay a Money Transfer Amount in one currency from a card denominated in another currency, the conversion of the currencies and applicable markup fees, would be done by your financial institution. 

  4. The total amount (the Money Transfer Amount, Service Fee and other applicable fees and charges) that You must pay and the relevant exchange rate (markup currency conversion rates may apply) selected by us will be displayed clearly on the Site before You are asked to confirm Your Money Transfer.

  5. There may be times when We have to convert the Money Transfer Amount from one currency into another. This could happen when:

    1. You pay a Money Transfer Amount in one currency and the payout amount is in another currency; 

In each case, there will be a difference between the exchange rate at which we buy foreign currency and the exchange rate provided to You. Flutterwave and its Service Providers usually make a small profit in these circumstances. In the case of a Money Transfer, we will pay the Recipient the amount we confirm to You  in the local currency of the Recipient (where permitted by law) or in any currency permitted by applicable law or in the currency of the Money Transfer Amount subject to confirmation by us where this is applicable (which is on a case by case basis). Likewise, in the case of a payment to Your Account, we will issue money for the amount we confirm to You, in the currency in which Your Account is denominated subject to the applicable local laws. The margin taken on foreign currency exchange covers our risk that exchange rates may change between the time we confirm the payout amount (or the amount we will issue in money) and the time we make the payment (or issue the money).

  1. If the Recipient’s account is denominated in a currency other than the currency You instructed us to make payment in, there may be delays, additional charges or different exchange rates. 

  2. We will have no responsibility for any fees or charges You may incur by the use of a particular account or Payment Instrument to fund a Money Transfer. These may include but are not limited to unauthorised overdraft fees imposed by banks if there are insufficient funds in Your bank account, or "cash advance" fees and additional interest which may be imposed by credit card providers if they treat use of our Services as a cash transaction rather than a purchase transaction.

  3. In order to be able to process Your Payment Instruction, You must provide us with information as requested. Different information may be applicable to different countries.

Payment Timelines 

  1. Subject to the Terms and Conditions, where You make a Money Transfer, the recipient will receive the payment as set out on send.flutterwave.com.  

  2. We may send and receive notifications in relation to Money Transfer by email and SMS. We will provide You with information after receipt of a Payment Instruction enabling You to identify the Money Transfer, along with details of the Money Transfer Amount in the currency used in the Payment Instruction, our Service Fee, exchange rate and the date on which the Payment Instruction was received. We will provide this information to You no later than 30 days after the date of the relevant Money Transfer.

  3. Your Money Transfer may be delayed by our effort to verify your identity and validate your Payment instruction and otherwise comply with laws or manage our financial risk.

Cancellation of Payment Instructions 

  1. Once we have received Your Payment Instruction, You cannot cancel it. 

  2. Notwithstanding clause 6.1, we may, in our absolute discretion, attempt to reverse Your Payment Instruction if You have informed us that You wish us to do so. In some cases, we may have initiated an irreversible request for funds to be paid out to Your Recipient by a service provider. If this is the case, we cannot guarantee that the reversal will be successful.

  3. We may impose a charge for attempting to reverse Your Payment Instruction. 

Refusal or Delay in processing a Payment Instruction 

  1. We may refuse any attempted payment to You or into Your Account, refuse to process a Payment Instruction, or delay processing any such payment or Payment Instruction, at any time, for any reason set out below: 

  2. you have created multiple accounts;

  3. we reasonably believe that You are using our Site or Services, in breach of this Terms and Conditions or any applicable laws, rules or regulations, or in furtherance of illegal, fraudulent or prohibited activities;

  4. we have reason to believe that processing any such payment or Payment Instruction would violate anti-money laundering or counter-terrorism financing laws, rules and regulations; 

  5. in the case of a payment of the Money Transfer Amount, we have reason to believe the security of the Account or Payment Instrument used to make the payment has been compromised or we suspect the unauthorised or fraudulent use of that account or Payment Instrument.   

  6. we are unable to verify Your identity or the identity of the Recipient; 

  7. You do not provide us with any information we have reasonably requested from You;

  8. we suspect that there may be fraudulent activity or other financial crime affecting You or the Recipient, any money we hold to Your Account or any payment;

  9. we are obliged to do so by any law, regulation, court order or instruction from a regulator or government body; 

  10. there is a dispute (which we reasonably believe is genuine) about who owns, or is entitled to any money pushed through your Account. 

  11. You are in breach of this Terms and Conditions in a way that we reasonably believe justified us in refusing or delaying processing a Payment Instruction and You have not rectified this breach;

  12. we have been informed by the relevant authorities that You are subject to an order relating to Your bankruptcy, or You have entered into a voluntary agreement with Your creditors; or 

  13. we have blocked Your use of the Site. 

Fees and Charges 

  1. For each Payment Instruction You give us, You must pay us the applicable Service Fee (as detailed on the Site). Payment becomes due at the time You submit the Payment Instruction. 

  2. If You submit a Payment Instruction that results in us becoming liable for charges (including but not limited to chargeback or other fees which we are obliged to pay), You must reimburse us for all such fees.

  3. A surcharge may apply for processing credit cards in certain jurisdictions. The amount of the surcharge will be notified to You at the time of the card payment.

Use of the account 

  1. An Account is set up by registering on the Site, by providing information required by Us.  

  2. You can push the Money Transfer Amount, using the Site, or by using other methods as we may make available from time to time. 

  3. If You have an Account, and You want to push money through your Account for remittance to the Recipient, the value pushed through your Account will be as follows: 

    1. You are able to push money through your Account in the different currencies we make available on the Site from time to time. 

    2. You can push money through your Account by giving us a Payment Instruction, or by using such other methods as we may make available from time to time.

Prohibited Acts 

  1. You are prohibited from performing any of the following acts when using the Site;

    1. using the Site for wrongful purposes; 

    2. infringement on intellectual property rights, portrait rights, publicity rights, or other rights of Flutterwave, customer or third parties; 

    3. infringement on the privacy of Flutterwave, customers or third parties; 

    4. defamation, insults, or obstruction of business with respect to Flutterwave, customers or third parties; 

    5. acts that lead to fraud, blackmail, and other criminal activities; 

    6. sending, transmitting, or recommending harmful computer programs such as computer viruses; 

    7. deliberate exposure or posting of false data; 

    8. sending or posing, information deemed by Flutterwave as falling under the following items; 

      1. expressions that induce, solicit or encourage suicide or self injury behaviours, indecent expressions, information about dealing drugs or dangerous drugs, or expression that encourage the use of such drugs; 

      2. promotion and advertisement on religious activities, religious organisations, political activities or political organization; 

      3. information that may have harmful effect on children; 

      4. cruel expressions, sexual expressions and other information that may bring discomfort to others. 

Privacy Statement

Your use of this Site signifies Your continuing consent to Flutterwave’s Privacy Notice which You can examine any time by clicking on the Privacy Notice link on the Site. Personal information that You supply to Flutterwave and any information about Your use of the Site that we obtain will be subject to Flutterwave’s Privacy Notice on this Site. We may provide information about you and your Transactions to government authorities and law enforcement agencies, as described in our Privacy Notice. You authorize us to make any inquiries, to you or to others, which are necessary to validate the information that you provide to us. This may include asking you for additional information, requiring you to take steps to confirm ownership of your email address or financial instruments, verifying your information against third party databases, or through other sources.

Availability of the Site 

  1. Although we aim to offer You the best service possible, we make no promise that the Site will meet Your requirements. We cannot guarantee that the services will be fault-free. If a fault occurs with the Site You should report it to send@flutterwave.com and we will attempt to correct the fault as soon as we reasonably can.

  2. Your access to the Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can. 

Proprietary Information

The material and content accessible from this Site, and any other worldwide website owned, operated, licensed or controlled by Flutterwave is the proprietary information of Flutterwave. Flutterwave retains all rights, title, and interest in the content. Accordingly, the content may not be copied, distributed, republished, uploaded, posted or transmitted in any way without the prior written consent of Flutterwave, except that You may print out a copy of the Content solely for Your personal use. In doing so, You may not remove or alter, or cause to be removed or altered, any copyright, trademark, trade name, service mark, or any other proprietary notice or legend appearing on any of the Content. Modification or use of the content except as expressly provided in these Terms and Conditions violates Flutterwave’s intellectual property rights. Neither title nor intellectual property rights are transferred to You by access to this Site. 

Trademark 

Trademarks, service marks, and logo appearing in this Site are the property of Flutterwave or the party that provided the trademarks, service marks and logos to Flutterwave. Flutterwave and any party that provided trademarks, service marks and logos to Flutterwave retain all rights with respect to any of their respective trademarks, service marks, and logos appearing in this Site. 

Flutterwave’s Right To Suspend Or Cancel Your Registration

  1. We may suspend or close Your Account immediately at our reasonable discretion or if You breach any of Your obligations under these Terms and Conditions.  

  2. You can close Your Account at any time by informing us in writing at send@flutterwave.com If You do so, You must stop using the Site. 

  3. The suspension or cancellation of Your registration or Account and Your right to use the Site shall not affect either party’s statutory rights or liabilities. 

Limitation of Liabilities and Disclaimer

  1. Informing us about an unauthorised or incorrect payment 

You agree that , 

If You believe that a Payment Instruction was made without Your authorisation, or was not executed correctly by You, or where you have provided inaccurate information to Us, You must immediately contact us through the “Contact Us” channels listed in these Terms and Conditions.

A request for a refund must be submitted in writing (including by email) to the contact points listed in these Terms and Conditions, giving Your details including full name, address, and phone number, together with the Transaction ID, Transaction Amount, and the reason for Your refund request. You should give us any other relevant documentation that You have available that will help us process Your claim.

  1. How unauthorised payments are handled

We may be able to recall the Money Transfer Amount if it is still within the Send platform. We however offer no guarantees of a reversal or recall once the Money Transfer Amount has left the Send platform or reached the Recipient. 

However, the circumstances in which we will not be obliged to refund You are as follows:

  1. if You have acted fraudulently, You will have no right to a refund under any circumstances.

  2. if You have intentionally or with negligence compromised the security of your Account or failed to keep the details used to access the Site or our Services secure, You will be liable for all losses arising thereof.  

  3. if we processed the payment on time and in accordance with Your Payment Instruction. 

  4. if it was not possible for us to process Your Payment Instruction, due to circumstances beyond our reasonable control and circumstances outlined in clause 7;

  5. If You are entitled to a refund, we will credit the amount of the refund (less any fees we have charged) back to the source account and in the same currency in which the payment was made. 

  6. If we suspect You have acted fraudulently, we may decide not to refund You or we may investigate the circumstances further. You must cooperate with us and law enforcement agencies, where they are involved in the investigation. If we carry out an investigation and decide that You are not entitled to a refund because You acted fraudulently, you may be liable for our reasonable costs in carrying out the investigation. We may deduct the reasonable costs incurred from the Money Transfer Amount and if the Money Transfer Amount is insufficient, You must repay the amount outstanding to us immediately on demand by us.

  7. We are not liable to You for any loss of profit, loss of business, business interruption, or loss of business opportunity. We are not liable to You for any loss or damage caused by a virus, or other technological attacks or harmful material that may infect your computer equipment or programmes, data or other material related to your use of the Services.

  1. THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP ARE PROVIDED BY FLUTTERWAVE ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. FLUTTERWAVE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE APP, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE APP IS AT YOUR SOLE RISK.

  2. TO THE FULL EXTENT PERMISSIBLE BY LAW, FLUTTERWAVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. FLUTTERWAVE DOES NOT WARRANT THAT THE SITE, INFORMATION, CONTENT, MATERIALS, PRODUCTS OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP, OR ELECTRONIC COMMUNICATIONS SENT FROM FLUTTERWAVE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULL EXTENT PERMISSIBLE BY LAW, FLUTTERWAVE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE APP, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.

  3. You understand that Flutterwave cannot and does not guarantee or warrant that files available for downloading from the internet will be free of viruses, worms, Trojan horses, or other code that may manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy Your particular requirements for accuracy of data input and output, and for maintaining a means external to this Site for the reconstruction of any lost data. Flutterwave does not assume any responsibility or risk for Your use of the Internet. 

  4. FLUTTERWAVE, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHER DAMAGES, EVEN IF FLUTTERWAVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

Hyper-Links 

This Site may be hyper-linked to other Sites which are not maintained by or related to, Flutterwave. Flutterwave has not reviewed any of such Sites and is not responsible for the content of those Sites. Hyper-Links are to be accessed at the user’s own risk, and Flutterwave makes no representations or warranties about the content, completeness, or accuracy of these hyper-links or the Sites hyper-linked to this Site. Further, the inclusion of any hyper-link to a third-party Site does not necessarily imply endorsement by Flutterwave of that Site. 

Security

You are prohibited from using any services or facilities provided in connection with this Site to compromise security or tamper with system resources and or accounts. The use or distribution of tools designed for compromising security (e.g, password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If You become involved in any violation of system security, Flutterwave reserves the right to investigate suspected violations of this Terms and Conditions.  

Flutterwave reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing Flutterwave to disclose the identity of anyone posting any e-mail messages or publishing or otherwise making available any materials that are believed to violate these Terms and Conditions. BY ACCEPTING THIS TERMS AND CONDITIONS YOU WAIVE AND HOLD HARMLESS FLUTTERWAVE FROM ANY CLAIMS RESULTING FROM OR ANY ACTION TAKEN BY FLUTTERWAVE DURING OR AS A RESULT OF ITS INVESTIGATIONS BY EITHER OR LAW ENFORCEMENT AUTHORITIES. 

Indemnity

  1. You will indemnify and hold Flutterwave, its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors and contractors (the indemnified parties) harmless from any breach of these Terms and Conditions by You, including any use of content other than as expressly authorized in these Terms and Conditions. You agree that the indemnified parties will have no liability in connection with any such breach or unauthorized use, and You agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses and attorney fees of the indemnified parties in connection therewith.
